Board of Directors Meeting Minutes

October 21, 2003 at 2030.

Call to Order: The meeting was called to order at 2030 by President Bonnie Groessl following the Dinner and a Program presented by Dr. Earl Perrigo, MD on Cardiovascular Risk Reduction.

Minutes: The written minutes of the September 16th Board meeting were distributed and were approved with one point of clarification regarding Committee reports.

Clarification: Committee reports will be given at the general membership meetings, only. Committee reports may be given, by exception, at those times that the Board meets but the general membership does not meet.

Treasurer’s Report: Brenda Tyczkowski, Treasurer. A printed financial report covering 09-01-03 to 09-30-03 was distributed and accepted by the membership.

Region #3 Report: No Report

Committee Reports:

FINANCE: No Report

PROGRAM: Carol Morris, Chairperson. Theresa Shuck will present a program on Genetics at the Eagle’s Nest on January 20, 2004. Bonnie agreed to look for a Pharmaceutical company to sponsor this presentation. Sharon McNulty announced that Unity Night will be held on April 8, 2004. The topic of the program will be Mental Health. Aurora Bay Care is being considered for the location. More details will be released as plans are finalized.

LEGISLATIVE: Judy Friederichs, Co-Chairperson. The Legislative Committee is approaching Jay Heck from Common Cause to be the presenter for the May 18 DNA Program. The topic is yet to be decided. Due to the excellent content of the program, the board agreed that an invitation can be extended to the League of Women Voters or any other relevant group to promote attendance.

EMERGENCY PREPAREDNESS VOLUNTEERS: Judy brought up the subject of the increased role that the NEWDNA nurses could play as potential volunteers in the Emergency Preparedness Program. In the future, an article could be placed in the newsletter soliciting volunteers in the event of an emergency. The Board of Licensing is also including with license renewals a call for volunteers along with information about an online application process.

WINPAC: Sharon McNulty displayed the miscellaneous items that have been donated by the membership for the Silent Auction at the WNA Annual Convention which she will be attending October 23 – 25, 2003 in Eau Claire.

MEMBERSHIP: Bonnie reported that Jennifer Paulson has expressed interest in membership.

PUBLICITY: No report.

NOMINATIONS: No report.

BYLAWS: Carol Morris, Chairperson. Carol reported that the Bylaws, as presently written and last reviewed on 01-21-03, will be posted on the NEWDNA Web site. However, after careful review, Carol has found the need for the Board to edit the Bylaws. The present format contains inconsistencies in the outlines, structure, and terms that are used. The Bylaws need to be compared to present NEWDNA practices. Special attention will be paid to areas where the Bylaws and practices do not agree. After considerable Board discussion, it was moved by Brenda and seconded by Judy to send the work of updating the Bylaws to committee. The motion passed unanimously. Changes will be prepared and brought to the Board for approval. The updated Bylaws will be published at a future meeting with adequate prior notice to the membership.

Carol Morris has agreed to sub for Bonnie at the President’s meeting during the WNA Convention.

NEW BUSINESS:

A discussion was held by the Board regarding uninvited guests attending Board meetings and general membership meetings. This had not been considered a significant issue until the September 16, 2003 meeting at the Eagles Nest in which an uninvited guest made her appearance. Since there was hesitancy regarding the position that the Board should take, the guest, who said she was a nursing student, was allowed to stay. After consulting the Bylaws, it has been determined that non-members may attend the Board meetings if they have received prior approval from the President. The criteria for obtaining this approval will rest on the intent of the petitioner and on the discretion of the President. The Bylaws indicate that students can attend general meetings of the NEWDNA. Students may also be allowed to attend sponsored events if they submit their requests for the sponsored events to the President and provided the Board has prior approval from the sponsors. Judy has agreed to provide a format on the Home page of the NEWDNA Web site that will allow petitioners to request the special approval that is needed to attend these particular events.

Next BOD Meeting: January 20, 2004 at 1715, before the Dinner and Program at the Eagles Nest.
